SAFEs, SAFTs, token warrants and hybrids come from the company raising; the SPV signs, holds and administers them, receives tokens at TGE and distributes them to LPs. - A token warrant's exercise cost is the deal's cost, not a GCRx fee. LPs wire it on top of their checks: a $1,000 warrant adds $1,000 to what LPs wire, alongside their checks and the GCRx fee. - GCRx is not automatically the SPV's adviser. Where the syndicate will not act as adviser, an exempt reporting adviser can be arranged for the vehicle; on the BVI vehicle the role does not apply. - GCRx does not set the syndicate's economics. The lead sets its own upfront fee and carry with its own LPs; GCRx calculates and administers the waterfall. - GCRx is not an investment adviser to LPs. Nothing on gcrx.io is investment advice, and nothing on it is an offer to sell securities. - Legal support covers SPV matters, with experienced counsel brought in where needed. Legal work beyond the SPV is quoted separately, and bespoke structuring — nested SPVs, prop funds, custom terms — is scoped and priced per deal. - Investors subject to applicable sanctions cannot be onboarded. Everyone else is screened: KYC/B and AML on every LP, plus accreditation where the structure requires it. - The Delaware vehicle hard-caps at 99 LPs. Past 99 means the BVI vehicle or a second SPV. - The BVI vehicle files no US notices and issues no K-1s. Blue Sky filings and 506(c) accreditation verification are US-offering items and do not apply to it. - Standard funding is fiat, or USDC/USDT on Ethereum. Other chains or tokens are converted on the way in and priced as a non-standard funding add-on. - Self-serve is not the product today. A flat setup fee — $6,000 for a Delaware Series LLC, $10,000 for a BVI Series. 2. A tiered percentage of the total amount raised — the same schedule in both jurisdictions: - 1.00% on raises up to $75,000 - 0.75% on $75,001 to $250,000 - 0.50% on $250,001 to $500,000 - 0.35% on $500,001 to $1,000,000 - 0.25% above $1,000,000 One rate applies to the whole raise, set by the raise's size. Fiat and stablecoin LPs subscribe into the same vehicle — a USD wire and a USDC investor close side by side, and the SPV is funded, deployed and distributed on-chain with no forced conversion to USD. Delaware Series LLC for US-accredited rounds: Form D and state Blue Sky notices filed, K-1s issued, up to 99 LPs, 10-year management term. BVI Series for international or token-heavy rounds: no US filings, no K-1s, no 99-LP cap, 5-year term. Speed depends mostly on how quickly LPs finish KYC/B and wire; vehicles have opened the same day with subscription documents out that night. **Do token deals cost more than equity deals?** No — a token deal is priced identically to an equity deal. Equity, SAFEs, SAFTs, token warrants and hybrids are all supported at the base price, with stablecoin rails and warrant-document handling included. The instrument documents come from the company; the SPV signs, holds and administers them, then receives and distributes tokens at TGE. **What is included in the setup fee, and what costs extra?** Included: entity formation and filings, banking and stablecoin wallets, KYC/B and AML on every LP, subscription documents and investor onboarding, cap table management, legal support, token-warrant and SAFT support, distributions and K-1s on Delaware vehicles, one closing, and the first standard distribution. Billed only if used: 506(c) accreditation verification ($100 per LP, Delaware), the distribution package (further standard distributions activate the $1,000 package — up to 12 in total, then $50 each — plus network fees; non-standard or complex distributions may be charged separately), an additional closing (1% of the additional capital, $500 minimum, $3,500 maximum), brokerage coordination where a broker or broker-dealer is required ($5,000, excluding third-party brokerage, legal, banking, custody and transaction costs), extra LPs past 99 on BVI, a reserve account, term extensions, and bespoke structuring priced per deal. Delaware Blue Sky state fees plus a flat $160 EFD system-use fee per SPV filing are passed through at cost. **How many investors can join one SPV?** Up to 99 LPs on the Delaware vehicle — a hard cap. The BVI vehicle has no 99-LP cap: LPs past 99 are $75 each for the first ten, then $50 each. A BVI round with 120 LPs therefore adds $1,300 for the 21 extra investors. **Can international investors join a single vehicle?** Yes. LPs from most jurisdictions subscribe into one SPV, at no per-country surcharge, provided KYC/B, AML and sanctions screening clear. Delaware settles USD natively and accepts 139 other currencies that arrive in the SPV as USD at the mid-market rate with no spread added, enabled per deal; the BVI vehicle settles USD and EUR directly. Stablecoins work worldwide on either vehicle. **Do LPs have to redo KYC for every deal?** No. KYC/B, AML and accreditation screening are run once per investor through a verification provider and reused across future GCRx deals, so a lead's network is onboarded once and every subsequent deal is commit, fund, close. **What happens at a token generation event?** The SPV holds the deal's instrument — a SAFT, token warrant or hybrid signed by the vehicle — and receives the tokens when the project mints and delivers them at TGE. GCRx then calculates the carry and waterfall splits and distributes to LPs, in stablecoin or cash.
